1. Eligibility

To access certain features, you must create an account. You agree to:

• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activity under your account

3. Service Description

System R AI provides an intelligent trading operating system that includes research agents, risk management tools, position sizing frameworks, and execution infrastructure. The Service is designed to assist with financial decision-making but does not constitute financial advice.

3.1 Human Platform

The human-facing platform provides tools for systematic trading operations including market analysis, portfolio management, risk assessment, and trade execution assistance.

3.2 Agent Platform

The agent platform provides API access and MCP tools for AI agents to interact with System R AI's domain services programmatically.

4. Subscription and Payments

• Subscription plans are billed on a recurring monthly basis
• A 7-day free trial is available for new users with a valid payment method
• A $1 card verification charge will be placed and immediately refunded during signup
• You may cancel your subscription at any time; access continues until the end of the current billing period
• We reserve the right to modify pricing with 30 days' advance notice
• Refunds are handled on a case-by-case basis at our discretion

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Circumvent any access controls, rate limits, or security measures
• Use the Service to manipulate markets or engage in fraudulent trading activity
• Resell, redistribute, or sublicense the Service without written permission
• Use automated systems to scrape or extract data beyond authorized API usage

6. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, domain models, risk frameworks, documentation, and design, are owned by System R AI. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of your data, trading configurations, and any content you create within the platform.

7. Financial Disclaimer

System R AI is not a financial advisor, broker-dealer, or registered investment advisor. The Service provides tools and frameworks for systematic decision-making. It does not provide personalized investment advice, recommendations, or solicitations to buy or sell any securities or financial instruments.

All trading involves risk, including the risk of total loss of capital. Past performance does not guarantee future results. You are solely responsible for your trading decisions and their outcomes.

8. Data and Content

You retain ownership of all data you provide to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you. We do not sell your data. See our Privacy Policy for full details.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We are not liable for any trading losses, missed opportunities, or financial damages arising from your use of the Service
• Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless System R AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your trading activities.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your license to use the Service ceases. You may export your data for 30 days following termination.

12. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
